TERMS OF SERVICE
Organization: Global Property Audit (GPA) – European HQ, Czech Republic
1. Acceptance of Terms
By engaging Global Property Audit ("GPA") or using the GPA website, Client Portal, or related services, you agree to these Terms of Service.
The specific scope, price, timing, and conditions of an individual audit are determined by the applicable service description, quotation, booking confirmation, or other written confirmation issued by GPA.
2. Nature of GPA Services
Global Property Audit provides independent property auditing and diagnostic services supported by proprietary GPA Core technology, professional measurement equipment, structured audit protocols, defined verification procedures, and documented analytical reporting.
Depending on the selected service, an audit may include physical property inspection, instrument-based diagnostics, environmental and acoustic monitoring, photographic or other evidence collection, continuous or controlled measurements, and subsequent analysis of acquired data.
The applicable audit is performed using the GPA Core methodology, defined audit protocols, and technical equipment appropriate to the selected service.
The specific scope of an audit depends on the service selected, the property, the areas and systems available for inspection, and the conditions present at the time of the audit.
GPA Core methodology, operational protocols, algorithms, decision logic, audit sequences, internal validation procedures, and other proprietary elements constitute confidential intellectual property of GPA and are not disclosed as part of these Terms.
3. Nature of Audit Findings
GPA audit findings represent documented observations, measurements, analytical results, and other evidence obtained within the defined scope of the relevant audit and under the conditions existing at the time the audit was performed.
An audit is an objective diagnostic assessment of the property's observable and measurable conditions within the defined scope of the service.
An audit is not a certification that the property or any individual component, installation, system, or material is free from defects, hazards, deterioration, or the possibility of future failure.
The absence of a finding in an audit does not constitute a representation or guarantee that the corresponding condition does not exist or will not subsequently develop.
4. Limitations of Inspection and Detection
No inspection or diagnostic methodology can identify every existing, concealed, intermittent, inaccessible, latent, developing, or future defect or condition.
The ability to detect and evaluate a condition may depend on physical accessibility, operating conditions, environmental conditions, measurement range, equipment characteristics, visibility, and the condition of the property at the time of the audit.
The absence of a finding in a GPA audit or report does not constitute confirmation that the corresponding component, system, installation, material, or condition is defect-free or free from risk.
GPA does not perform destructive investigation, dismantling, opening of concealed construction, or other invasive procedures unless expressly agreed as part of a separate service.
5. Client Access, Measurement Conditions and Audit Integrity
The Client shall provide GPA and its authorized personnel with safe, lawful, and reasonably unhindered access to the property, including all areas, systems, installations, equipment, and components falling within the agreed scope of the audit.
The Client shall provide or arrange all keys, access permissions, credentials, authorizations, and other reasonable means necessary to perform the agreed audit. The Client shall also disclose any known restrictions, construction works, disabled systems, inaccessible areas, safety hazards, or other circumstances that may affect the execution or interpretation of the audit.
Where specific operating, environmental, occupancy, access, or other conditions are required for a particular measurement or monitoring service, such conditions shall form part of the agreed audit conditions. The Client agrees not to intentionally interfere with, alter, obstruct, relocate, disable, or otherwise materially affect the measurement environment or the operation of GPA equipment during the agreed measurement period.
GPA Core is designed to identify, manage, and document relevant access restrictions, measurement constraints, protocol deviations, and material interference occurring during the audit. Where an area, component, system, or measurement cannot be inspected, accessed, operated, or evaluated as required by the applicable audit protocol, GPA may record the specific limitation, the circumstances surrounding it, and any resulting effect on the audit or measurement data.
Where a continuous or controlled measurement service is affected by material interference with the agreed measurement conditions, GPA may suspend, interrupt, repeat, or invalidate the affected measurement period, in whole or in part, where reasonably necessary to preserve the integrity and interpretability of the resulting data.
The Client acknowledges that deliberate or material interference with the agreed audit conditions may affect the validity, completeness, or interpretation of the resulting report and may require additional measurement time or a separate reinspection.
GPA shall not be responsible for limitations, interruptions, or loss of diagnostic value resulting from circumstances caused by the Client, occupants, third parties, unauthorized interference, unsafe conditions, denial of access, or other circumstances outside GPA's reasonable control.
6. Deliverables and Intellectual Property
Upon completion of the agreed audit, GPA shall provide the Client with the applicable audit report and other agreed deliverables containing the observations, measurements, photographic or other evidence, analytical results, and conclusions generated within the defined scope of the service.
The format, content, delivery method, and timing of the applicable report may vary depending on the type of audit and the services ordered.
Each audit report relates to the specific property, audit scope, conditions, and time period to which it refers. It does not constitute a general or permanent certification of the property.
The Client receives a non-exclusive right to use the completed audit report for its own internal, property-related, legal, insurance, transactional, or other legitimate purposes consistent with the nature of the report.
Unless expressly agreed otherwise in writing, all intellectual property rights relating to the GPA Core technology, software, source code, algorithms, decision logic, audit sequences, protocols, internal validation procedures, data-processing methods, system architecture, measurement methodology, templates, and other proprietary materials remain exclusively with GPA or their respective rights holders.
The Client shall not copy, reproduce, modify, reverse-engineer, decompile, disassemble, extract, disclose, license, resell, commercially exploit, or otherwise attempt to recreate any proprietary GPA technology, methodology, software, protocols, or other protected materials.
Nothing in these Terms transfers ownership of GPA's intellectual property to the Client. The Client's ownership or lawful use of the delivered audit report does not grant any ownership or license to the underlying GPA Core technology or methodology.
GPA may retain and use audit data, measurement records, system logs, and other technical records to the extent reasonably necessary for quality assurance, verification, dispute resolution, system development, legal compliance, and protection of GPA's legitimate interests, subject to applicable data protection laws and the GPA Privacy Policy.
7. Orders, Fees, Payment and Cancellation
The fee applicable to an audit or related service shall be the price communicated or confirmed to the Client for the relevant service at the time of booking or order confirmation.
Payment terms, including the applicable currency, payment method, deposit requirements, and payment deadline, shall be communicated to the Client as part of the booking or order confirmation.
An audit appointment may be cancelled or rescheduled in accordance with the cancellation conditions applicable to the relevant service.
Where cancellation, rescheduling, non-attendance, denial of access, or other client-related circumstances occur after the applicable cancellation deadline, GPA or the authorized service provider may apply the applicable cancellation, administrative, or other agreed charge.
Where an audit cannot be completed, is materially interrupted, or must be repeated because of circumstances caused by the Client, occupants, third parties, denial of access, interference with agreed audit conditions, or other circumstances outside GPA's reasonable control, additional charges may apply for additional visits, measurement time, or other services reasonably required.
Any statutory consumer cancellation or withdrawal rights that cannot lawfully be excluded remain unaffected by this section.
8. Authorized Partners and Service Delivery
GPA may use authorized regional partners, qualified technicians, independent specialists, subcontractors, or other service providers to perform particular parts of an audit or related service.
Where a service is performed through an authorized partner or other service provider, the applicable activities may be carried out locally in accordance with the relevant GPA audit scope, procedures, and requirements.
The use of an authorized partner or service provider does not transfer ownership of GPA Core technology or methodology and does not alter the intellectual property provisions of these Terms.
9. Client Reliance and Use of Audit Results
Audit reports and other deliverables provided by GPA are intended to provide objective diagnostic information concerning the property within the defined scope of the applicable service.
GPA provides documented results based on the applicable audit, measurement methods, technical equipment, GPA Core, and available data. These results may be used as a basis for decisions by the Client, the Client's advisers, or other authorized persons.
Any decision concerning the purchase, sale, valuation, repair, renovation, insurance, financing, occupancy, or other use of the property remains the responsibility of the person making that decision.
GPA does not provide legal, financial, investment, insurance, construction, engineering, medical, or other professional advice outside the expressly defined scope of the audit service.
The limitations of responsibility contained in these Terms shall not be interpreted as a statement that GPA provides no professional or diagnostic value. GPA provides an objective audit within the defined scope of the service; these Terms distinguish that professional assessment from a guarantee of future property condition or of any decision made by the Client.
10. Complaints, Claims and Additional Verification
The Client may notify GPA of actual or suspected discrepancies in an audit report, including concerns regarding recorded measurements, findings, identification, or other report content.
GPA may review such concerns using available audit records, measurements, photographs, system logs, technical records, and other relevant data associated with the audit.
Where GPA identifies a factual or technical error attributable to GPA, GPA may correct the relevant portion of the report, issue an amended report, or provide another appropriate correction.
Where a matter cannot reasonably be verified from existing records, GPA may, depending on the circumstances, require additional measurement, verification, or a separate reinspection.
Additional verification does not by itself constitute an admission of liability or acceptance of a claim.
The Client shall provide reasonable cooperation and relevant information necessary for GPA to evaluate a complaint or claim.
11. Personal Data and Audit Data
GPA may process personal data of the Client and other individuals in connection with the provision of its services.
The processing of personal data, including data obtained through the GPA website, Client Portal, communications, and audit activities, is governed by applicable data protection laws and the GPA Privacy Policy.
Depending on the selected service, an audit may involve photographs, measurements, technical records, system logs, telemetry, and other data associated with the performance and verification of the audit.
GPA may retain and use such data to the extent reasonably necessary for service delivery, quality assurance, verification, correction of results, dispute resolution, legal compliance, protection of legitimate interests, and other purposes described in the GPA Privacy Policy.
GPA shall apply reasonable technical and organizational measures to protect personal and audit data against unauthorized access, alteration, loss, or misuse.
12. Governing Law and Jurisdiction
These Terms of Service and the contractual relationship between the Client and GPA shall be governed by the laws of the Czech Republic, subject to mandatory provisions of law that cannot lawfully be excluded or restricted.
To the extent permitted by applicable law, disputes arising from or relating to these Terms or the provision of GPA services shall be subject to the jurisdiction of the competent courts of the Czech Republic.
Nothing in these Terms is intended to exclude or restrict any mandatory rights or protections available to a consumer under applicable law.
13. Changes to These Terms
GPA may update or amend these Terms of Service from time to time, including in response to changes in its services, technology, legal requirements, operational procedures, or business practices.
For a particular booking or confirmed service, the version of these Terms applicable at the time of confirmation shall apply, unless otherwise agreed or required by law.
The current version of these Terms shall be published on the GPA website, together with the date of the latest update.
Changes shall not retrospectively alter material obligations relating to a service already confirmed, except where required by law or expressly agreed with the Client.
14. Severability
If any provision of these Terms of Service is determined to be invalid, ineffective, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by applicable law.
The affected provision shall, where legally permissible, be interpreted or replaced to achieve as closely as possible its intended legal and commercial effect.
15. Entire Agreement
These Terms of Service, together with the applicable booking confirmation, service description, quotation, and any other documents expressly incorporated by reference, constitute the contractual framework governing the relevant GPA service.
They supersede prior representations or communications concerning the same subject matter to the extent that such communications are inconsistent with the applicable contractual documents.
Any agreed deviation from these Terms shall be confirmed in writing by an authorized representative of GPA, unless otherwise provided in the applicable service documentation.
16. Notices and Electronic Communications
Important notices, requests, complaints, confirmations, and other communications relating to GPA services may be made electronically, including by email, through the Client Portal, or through another communication channel designated by GPA.
The Client is responsible for providing accurate and current contact information necessary for service-related communications.
GPA may use electronic communication for booking confirmations, schedule changes, service notices, delivery of reports, requests for cooperation, complaints, and other matters relating to the audit.
Electronic communications shall be treated as received in accordance with applicable law.
17. Assignment
The Client may not assign or transfer the Client's contractual rights or obligations under these Terms or a confirmed service to another person without GPA's prior written consent, except where such transfer is permitted or required by applicable law.
GPA may use authorized partners, technicians, subcontractors, and other service providers in accordance with these Terms and the nature of the selected service.
Nothing in this section prevents the Client from using or legitimately sharing an audit report as permitted under Section 6.
18. Force Majeure
GPA shall not be responsible for delay, interruption, or inability to provide an agreed service to the extent caused by circumstances beyond GPA's reasonable control.
Such circumstances may include natural disasters, extreme weather conditions, fire, flood, infrastructure or utility failures, major technical failures, communication network failures, epidemics or other public emergencies, governmental or regulatory measures, civil disorder, armed conflict, strikes, or other events that GPA could not reasonably prevent or control.
Where such circumstances affect a scheduled audit, GPA may postpone, interrupt, modify, or reschedule the service as reasonably appropriate.
GPA shall use reasonable efforts to minimize the effect of such circumstances and to provide or reschedule the affected service when reasonably possible.
19. No Waiver
Failure or delay by GPA in exercising any right, remedy, or entitlement under these Terms shall not constitute a waiver of that right, remedy, or entitlement.
A single instance of non-enforcement of any provision shall not prevent GPA from enforcing that provision or exercising the relevant right in the future.
20. Electronic Orders and Acceptance
Orders, booking confirmations, acceptance of these Terms, communications, and other contractual acts may be carried out electronically through email, the Client Portal, an online booking system, or another electronic means used by GPA.
An electronic confirmation, acceptance, or other electronic expression of consent may constitute a binding contractual act to the extent permitted by applicable law.
21. Language
GPA may publish these Terms of Service in several languages, including English, Czech, and Thai.
Translations are provided to facilitate understanding. In the event of a conflict between language versions, the English version shall be used for interpretation to the extent permitted by applicable law.
Mandatory consumer or other legal rights concerning language, information, or contract interpretation remain unaffected.
